LiveStrato terms of service
These terms cover your use of LiveStrato, the desktop software and the online services that go with it (licences, the customer screen, item look ups and AI shop photos). By starting a trial or a subscription you agree to them.
1. Who we are
LiveStrato is made and sold by CodeStrato Ltd, a company registered in England and Wales (company number 17543081), registered office Unit 5d St. Francis Way, Shefford, England, SG17 5DZ. Contact: hello@codestrato.com. The LiveStrato connection to TikTok Shop is provided by Vibes Gym Ltd, trading as CodeStrato (company number 10505142), which has the same registered office. In these terms, we and us mean CodeStrato Ltd.
2. Who can use it
LiveStrato is for people selling as a business, including sole traders. You confirm you are using it for your business and not as a consumer.
3. Your licence
- We give you a non exclusive, non transferable licence to use LiveStrato for your own shop for as long as your trial or subscription lasts.
- Each licence covers the number of users and computers set out in your plan. You can move it to a new computer from Settings, Licence.
- You must not share your licence key, resell or rent LiveStrato, copy, decompile or reverse engineer it, or use it to build a competing product, except where the law allows this and cannot be excluded.
- LiveStrato, its code, design, name and logo belong to us. Nothing in these terms gives you ownership of them.
4. Free trial
New customers get a 28 day free trial of the Pro plan, once per business. If you add a card, you will not be charged until the trial ends, and you can cancel before then at no cost. Beta testers may be given a free licence for a set time instead.
5. Plans, payment and cancelling
- Plans and prices are shown on livestrato.com. Subscriptions are paid monthly or yearly in advance through Stripe and renew automatically. CodeStrato Ltd is not VAT registered, so prices have no VAT added.
- You can cancel at any time in Settings, Licence, Manage billing. Your plan runs to the end of the period you have paid for. We do not refund part periods unless the law requires it.
- If a payment fails, we give you time to fix it. After that, or once you cancel, LiveStrato goes read only: your lives, stock and reports stay on your computer to view and export, but scanning, syncing and printing stop until you subscribe again.
- You can switch between monthly and yearly, or between plans, in Settings, Licence, Manage billing. Stripe credits the unused part of your old plan against the new one. Switching during your trial keeps the trial going.
- We may change prices. We will give you at least 30 days notice by email, and the new price applies from your next renewal after that.
6. AI credits
Each plan includes a monthly allowance of AI credits for item look ups and AI shop photos, shown in Settings, Licence. Unused monthly credits do not roll over. Extra credits you buy do not expire while your licence is active. Items found in your own Shopify or in the shared product library do not use credits. We set daily limits to protect the service. AI results can be wrong; check product details before you list or sell.
7. Shared product library
When LiveStrato finds or creates product details for an item (title, brand, style code, colours, sizes, description, RRP and AI made photos), it adds them to a library shared with other LiveStrato sellers unless you turn sharing off in Settings, so the same item does not have to be looked up twice. It never shares your costs, stock levels, suppliers, sales, profit or anything about your buyers. Only add photos you have the right to use.
8. Your responsibilities
- You are responsible for your shop, your listings, your stock, the prices you charge and your dealings with buyers, TikTok, Shopify and any other platform. You must follow their terms.
- Profit, fees, VAT and other figures in LiveStrato are estimates to help you run your shop. They are not tax or accounting advice. Check them against your platform statements.
- Keep your computer secure and back up your data. LiveStrato makes local backups, but your data is stored on your computer and you are responsible for it.
- You are the controller of your buyers' personal data. Handle it lawfully. See our privacy policy for what LiveStrato does with data.
9. The service
We work to keep LiveStrato and its online services running and up to date, and we may change or improve features. We do not promise it will be free of errors or always available, and some features depend on TikTok, Shopify, OpenAI, Anthropic and other providers whose services can change or stop. If a change takes away a main feature of your plan, you can cancel and we will refund the unused part of the period you have paid for.
10. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit. Otherwise, we are not liable for loss of profit, sales, business, goodwill or data, or for indirect loss. Our total liability to you in any 12 months is limited to what you paid us for LiveStrato in those 12 months.
11. Ending your licence
We can suspend or end your licence if you break these terms in a serious way, misuse the service, or do not pay. Where we can, we will tell you first and give you a chance to put it right. You keep the data on your computer.
12. Changes to these terms
We may update these terms. We will change the version and date above and tell you by email or in the app before material changes take effect. If you do not agree, you can cancel before they apply.
13. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute. Please contact us first at hello@codestrato.com so we can try to sort it out.
